Project Developer

Reporting to Director/Senior Director -Project Development
Position Purpose
Assist the Dubai-based team with the end-to-end development of renewable energy power projects in Ivory Coast, until financial close. Coordinate all project work streams and act as local focal point for all project stakeholders (local authorities, off taker, lenders, contractors, advisors, etc.)
Responsibilities
Feasibility Studies and Due Diligence
  • Manage Feasibility Studies with the support of technical department
  • Manage technical, financial and legal due diligence of project with support from relevant department
  • Identify related project risks and risk mitigation measures
  • Perform project site visits
  • Assess the economic, technical and commercial viability of the project further to the feasibility studies and the due diligence, and make a recommendation regarding the next steps

Land, permits, authorizations and stakeholders management

  • Identify the project site and lead the process to secure land
  • Lead environment and social permitting process including SEP/ CSR with support from QHSE team
  • Lead the process to apply for and secure local permits and authorizations, required for the implementation and the construction of the project

Co-development/co-investment (when relevant)

  • Identify potential partners for project co-development/co-investment when relevant
  • Support in assessing partners for various opportunities
  • Support in structuring Joint Ventures and Partnerships
  • Negotiate Shareholder Agreements, SPAs, JV Agreements, JDAs in conjunction with the legal and project finance teams

Structuring and Financing

  • Together with the project finance team, structure the equity investment by AMEA Power
  • Together with the project finance team, identify potentials lenders for the project and approach them
  • Review and approve mandate letter negotiated by the project finance team
  • Support with negotiating the financing term-sheet
  • Keep oversight for all topics related to the completion of lenders’ due diligence
  • Manage the internal approval process and all related reportings

Project Documents

  • Lead, with the support of the legal team, the negotiation and the finalization of the project documents (PPA, Concession Agreement, Interconnection Agreement, Land Lease Agreement, etc.) with the authorities and/or the off-taker
  • Be the local focal point for the counterparty to close the project documents and proceed with their execution, with the support of the legal team

Financial Close

  • Support with defining the Financial Model inputs and assumptions
  • Support the project finance team in the negotiation of the loan agreements
  • Lead the satisfaction of Conditions Precedents (CPs) in order to achieve Financial Close with lenders for the project

Construction and Operation

  • Shortlist EPC and O&M (if applicable) contractors with the technical and procurement teams
  • Lead the EPC/ O&M Request for Proposals process
  • Lead, with the support of the technical team, the evaluation of technical and commercial EPC/ O&M proposals
  • Lead, with the support of the legal, procurement and technical teams, the negotiation and execution of EPC/O&M term-sheets and contracts
  • Lead the process towards serving Notice To Proceed
  • Organize proper handover to execution team at financial close

Qualifications & Experience

The employee must have the following qualifications & experience:

  • Bachelor or Master’s Degree  in engineering or business discipline.
  • Minimum of 5 – 10 years’ experience in the energy sector (ideally in renewables),working for a developer, an investment fund or an advisory firm.
  • Having at least financially closed one project.
  • Experience in utility scale renewable energy development in Africa would be a plus
  • Experience in developing financed by DFIs would be a plus.
Required Skills

The employee must have the following skills:

  • Proven familiarity with renewable energy contracts.
  • Proven familiarity with commercial and technical aspects of renewable energy projects.
  • Proven experience in project management, working with cross functional teams and on multiple projects at the same time.
  • Strong oral and written communication skills in French language.
