Reporting to Senior Director Legal
Position Purpose
Member of the Legal team; Support the business team including drafting, reviewing and negotiating commercial contracts; provide relevant legal advice; risk management and other legal matters as they arise; Support the execution team through contract management best practices

Responsibilities

Key Functions

Project Development

Draft, review, advise on and take the lead in negotiating a broad range of legal documentation which are:

  1. core to the  project  development  of  large  scale  power infrastructure transactions and include joint development  agreements, power purchase agreements, concession/implementation  agreements,  EPC  and  O&M  contracts and termsheets, project finance suite of  agreements
  1. ancillary to project development and include non-disclosure agreements, consultancy agreements
  1. relevant to M&A transaction and include share purchase agreements and shareholders’ agreements
  • Prepare,  negotiate  and  bundle  all  key  legal  aspects  ancillary  to bid submissions
  • Close projects (prepare / review CPs, legal opinions, final drafting)
  • Manage  and  direct  external  law  firms  engaged  to  support  the  development activities and ensure an optimal use of the external  resources
Project Execution
  • Perform post financial close tasks by ensuring all key obligations of  the  project companies  (in  particular  in  relation  to  EPC  and financing  arrangements)  are understood  and  are  adhered  to during construction and operation phases
  • Support  the  construction  and  operation  of  the  projects  through the  management  of  contracts  and  claims  by  providing  advice, drafting letters, participating
  • in project follow up and monitoring Liaise with lenders legal counsels (in particular in relation to waiver requests)
Risk Management
  • Assess projects and agreements and identify key commercial and legal risks
  • Present risk assessment to the senior management
  • Suggest mitigations to identified risks
Best Practice
  • Raise awareness of potential legal issues arising in respect of thecompany’s business
  • Promote best practices through sharing of information and training
  • Reduce legal exposure for the company
  • Support with corporate governance (contract approvals procedure, authority matrix, policies and procedures)
General
  • Conduct legal research and communicate advice to the business team
  • Ad hoc work required from time to time to move the legal function forward
Person Specification

Qualifications and Experience

  • Bachelor degree / Masters in law minimum (or recognised equivalent)
  • Minimum 5 years PQE and up to 8 years PQE
  • Relevant experience in project development and contract management gained in international power/infrastructure developer, EPC contractor and/or private practice, when possible in the field of renewable energy
